Hi! My family and I are going to Nagoya and Osaka for vacation next year, we were wondering whether we should avail of the 10-day JR Rail Pass or should we just get the local (Nagoya or Osaka) unlimited x-days pass?

What are you planning to do?
There is no JR 10 day Pass
A 7 day JR Pass is unlikely to pay off in any way, unless you do a few side trips like Tokyo/Hiroshima/Kanazawa
If you are only in and around Nagoya and Osaka, then just buy regular tickets.
Maybe post an itinerary to get some more feedback

How does the ICOCA work exactly? Reading up on it but I don't really understand it fully

You buy it with an initial 2000Y: a 500Y refundable deposit; and 1500yen available for fares, which can then be topped up at any machine: all have good English instructions
Fares are then debited as you go: there is no discount, but it makes life very easy.
So, for example, you start with 1500Y available: you touch it on the touch pad when you are entering the subway gates/bus etc, and then the fare, say 220Yen, is deducted when you touch off again when exiting the subway gates/bus. So you have 1280Yen showing next time you touch on somewhere.
IF you use it all up, and cant exit the area, then there is a booth where you can pay the balance required.
They are valid for 10 years: we usually try to leave Japan with about 1000Y still on the cards so we can take off easily when we return.
Alternately, you just hand it in and get your 500Y back (minus a handling charge) after you last trip.
