This page gives you an idea:

Considering your late arrival time, you could consider staying at an airport hotel the first night and then travel into Tokyo the next day.

First I might suggest you to relax :-)

You could take the 10pm Keisei Skyliner to Ueno, 1,920 yen, then catch a taxi to the hotel, or alight from the Skyliner at Nippori and change to the JR Yamanote or Keihin-Tohoku Line to Hamamatsucho, 160 yen, then walk to your hotel. The taxi from Ueno will cost approx. 3,000 yen.

Or if your flight arrives earlier than scheduled, you may be able to catch the last 21:43hrs Narita Express to Tokyo. From Tokyo, take a taxi.
It'll be about 1,700 yen.
Don't forget to buy the 'Suica and NEX' combo for 3,500 yen.

many ways 2008/6/1 22:05
Many different ways to get there. Narita airport is about an hour from Tokyo and then about 30 minutes to Shiba Daimon area. One of the easist and cheapest ways is to take the Keisei Line from the Airport and change to the Yamanote JR train line in Nippori. It goes right to the Hamamatsucho JR Station. Or take the Keisei lines to Oshiage and change to the Toei-Asakusa Subway to Daimon station. Both are about the same. You are arriving a little late for the Limo bus service I think. (which is very easy but more expensive)
here's a couple websites that might help you plan things.

Easiest Way 2008/6/4 03:01
I just returned from Shiba Park hotel a few days ago. Here's the easiest route I found.

On the JR Yamanote (loop) line, get off at the Hamamatsucho station. Head out the North exit. Walk towards Tokyo tower (can't miss it) until you see a large wooden temple gate, turn right and it's about a block up that street.
